The Terms form a legally binding agreement between you and Neezy Technologies Ltd (“Neezy” or “We”, “Us” or “Our”) in relation to your use of the services. It is important that you take the time to read them carefully.
This page (together with the documents expressly referred to within it) provides you with information about us and the legal terms and conditions applicable to users of, and visitors to, our website. By clicking the ‘join’ button, you (“you”, the “member”, the “user”) confirm that you have read and understood these Terms (including the documents expressly referred to herein) and you agree to be legally bound by them in relation to your use of the site. If you do not accept these Terms, you will not be able to open an account on our site and must not use the services.
We reserve the right to amend these Terms at our discretion from time to time. We will bring material changes to these Terms to your attention.

Neezy does not promote a lottery and is not a lottery promoter. The service offered by Neezy and its associated brand, UKWinnersClub, does not fall within the definition of gambling services nor is Neezy requiring a licence from the UK Gambling Commission.
Neezy’s UKWinnersClub service is a ‘Lottery Syndicate Organiser’ as described on the UK Gambling Commission website, Lottery Sector, Lottery Syndicate, Example 1 - Syndicate organiser:
Neezy organises and provides a management service for lottery syndicates (the “services”). UKWinnersClub being a Lottery Syndicate Organiser is NOT a service that is governed or regulated by the Financial Services Authority; a Syndicate does not amount to joining a collective investment scheme.
Only use the site as allowed by law and these Terms. If you don't, we may suspend your usage, or stop it completely.
Definitions:
Account: means the account created and assigned to the user’s given Mobile number;
Active Syndicate: means a member’s syndicate which has a live ongoing payment plan in the form of a subscription, allowing for either ad hoc or continuous entries to the Agreed Lottery draws;
Agreed Lottery: means the lottery product(s) contained within the member’s syndicate arrangement;
Business Day: means a day other than a Saturday, Sunday or public holiday in England when banks in England are open for business;
Claim Reference: means the receipt code that is provided to each member’s syndicate draw entry and confirms the member’s rights to make a claim for any associated winnings on that draw in accordance to the member’s syndicate share;
Inactive Syndicate: means a member’s Active Syndicate subscription payment plan has been terminated, which means that further entries to the Agreed Lottery draw will not occur;
Lottery Ticket: means a ticket for an Agreed Lottery;
Member and/or You and/or the User: means a person who meets the eligibility criteria to join a syndicate, has successfully completed the registration process and paid their syndicate membership fee, in cleared funds and has received SMS confirmation stating their syndicate information;
Mobile number: means the mobile phone number of a member that is held on our system as provided during the registration process;
Suspended Syndicate: a member’s Active Syndicate has been paused, at Neezy’s sole discretion, meaning that a number of scheduled entries to the Lottery draw will be missed. In the event of a suspension, all paid monies, if applicable, will be returned to the player(s) in full within 7 (seven) working days;
Syndicate: means a group of members who, based on the syndicate agreement to share any winnings at a given ratio, share the winnings of a Lottery draw between the syndicate members;
Syndicate agreement: means a syndicate as set out on the website, UKWinnersClub.com, which classifies which draws the syndicate will play and the number of entries in each draw it shall have; it outlines the syndicate membership fee which needs to be paid in order to review the stated entries;
Syndicate membership fee: means a fee paid by each member to Neezy for all services provided;
Syndicate share: means the percentage entitlement a member’s syndicate will have in any given Agreed Lottery draw;
Website and/or site: means www.UKWinnersClub.com.
How to become a Member of UKWinnersClub; Cancellation of Membership
To enter a Lottery Syndicate a member must open and register an account on the site (the “account”).
To apply for an account, you must complete the registration process.
Neezy reserves the right to refuse to complete registration for a prospective member for any reason at its sole discretion.
Prospective members may be required to supply the following information as part of the registration process:
a) name, address;
b) mobile number;
c) date of birth;
d) a password of their choosing.
In consideration of our accepting your application to open an account, you represent and warrant as follows:
a) you are 18 years of age or over;
b) you are of sound mind and capable of taking responsibility for your own actions and you can enter into a legally binding contract with us;
c) you have the legal right to use the given mobile number, debit /credit card(s) or e-wallet registered on your account and to incur charges thereon;
d) you will inform us immediately if any of the information you provided in your application to open an account is not true;
e) you are not an undischarged bankrupt and you are not in a voluntary arrangement with your creditors;
f) you are located / residing within the United Kingdom; and
g) you will, at all times whilst holding an account, comply with all applicable legislation in the United Kingdom.
On approval of your application to become a member, you may be sent a communication in the form of a SMS text which confirms the acceptance of your application. A member is appointed from the date of acceptance of the application by Neezy.
As a member you agree to receive communications from time to time, in the form of email and/or text messages inviting you to join available syndicates and/or other member related services. Members can change their preferences at any time using ‘communications control’.
The member selected password, must be kept confidential and not shared with anybody. Members must keep passwords and any claim references (relating to the syndicate) secure at all times in order to prevent unauthorised access. In the event that a member has forgotten their password the member can click the “Forgot password?” link and a new password will be sent to the member’s registered mobile number.
Accounts are non-transferable. The account may only be used by the individual who created it and not by anyone else. We reserve the right to immediately close your account if we have reason to believe that your account details are being used by anyone other than the registered member and/or you have not kept your password confidential.
You shall be liable for all activities that are undertaken using your account, together with the associated password, and you shall compensate us for all and any losses, damages, costs and expenses we may suffer as a result of any failure by you to keep your login details strictly confidential.
It is your responsibility to keep your account and contact details accurate, not misleading and up-to-date. We may, from time to time, send you important information using the details that you have provided to us. If those details are incorrect or not up-to-date you may not receive important information relating to your account or these Terms.
Your syndicate membership is confidential so in the event of a big win we will never reveal your details. It is up to you if you wish to go public. Neezy will not be held liable if a person is able to identify your syndicate membership through information which you may have divulged. You accept and agree that Neezy may reveal that one of its syndicates has won, you agree that Neezy may provide information to the media, which could include but is not limited to the syndicate name/number and the location of players.
A member may cancel his/her membership (i.e. membership of this site) at any time, by completing the simple cancellation request process using this link.
Lottery Syndicate
The lottery syndicate available on the site (the “syndicate”) allows players to participate in The National Lottery and/or The UK Euromillions lottery as part of a syndicate with other members. The syndicate is operated by Neezy who appoints syndicate managers who purchase all lottery tickets for participation in the National Lottery, other lotteries and manages the ticket allocation and distribution of winnings to members of the syndicate.
Neezy is the syndicate organiser and will take responsibility for setting up the syndicate groups, charge a fee for managing the syndicates, buy the lottery tickets, check and issue the lottery results, collect and distribute the winnings, and offer other related services.
By entering the syndicate, you agree to be bound by these Terms.
Joining the syndicate provides no guarantee of receiving any winnings.
Details of entry times for each lottery draw (“lottery draw”) are set out on the site. You cannot purchase an entry for any lottery draw outside of these times. Any application to purchase an entry for a lottery draw which is received after the time set out on the site will be rejected and you will not be included in the syndicate for the past draw, but may be entered into another draw.
If the member’s syndicate wins any monies each member’s share is divided in accordance to the portion stated by syndicate size. For avoidance of doubt the syndicate size is not necessarily the number people in the syndicate but the part share (a syndicate size of 50 means a 50th share) of winnings that a member will receive if the tickets assigned to the syndicate are won. The syndicate size information is clearly shown on the ticket prior to the draw.
The winning numbers for each lottery draw will be displayed on the site shortly after the completion of the lottery draw.
If you are part of a winning syndicate you may receive a claim reference ID which you must use to claim your winnings.
Details of how to claim any winnings are set out in clause 5 hereunder.
Payments to Enter a Syndicate Draw; Withdrawals / Cancellations Prior to a Draw
The membership of a syndicate requires payment via SMS to enter the syndicate draw, unless otherwise stated on the site.
Payment shall be taken by Neezy or its agent, using the payment method chosen by you when you joined the syndicate.
We operate on a no pay, no play policy.
If Neezy has not received payment (in SMS, cash or bonus credit, whichever the case may be) for entry into the syndicate prior to the due date for such payment, the member will not be entered into the syndicate draw and accordingly will not be entitled to receive any share of any winnings generated by that syndicate draw.
If a syndicate member would like any withdrawal or cancellation of contribution, he should inform us immediately. The member shall bear the costs of any transfer of contributions.
Withdrawal is deemed completed once transfer of contribution is initiated.
Withdrawal shall only be allowed when draws have not yet been done and given sufficient time.
Making Claims for Winnings or Prizes, Pay Outs of Winnings
Members are advised to confirm any results on the official UK Lottery Results web site and/or EuroMillions web site.
Following each UK Lottery or EuroMillions draw, Neezy will receive, in its own name and on its own behalf, any prize money received on the lines played by your syndicate.
We will calculate the prize money to be paid to each member of your syndicate by (1) totalling the prize money received for the weekly EuroMillions draws during the month of the syndicate and then (2) dividing it by the number of members in that syndicate.
We are only able to pay out prize money which is awarded in connection with the UK Lottery or EuroMillions primary draws, as published by Camelot Group. We will not receive, and cannot award / pay out, any prize money in connection with any additional, ad hoc games or raffles that may be offered over and above standard prize payouts; these payouts being invariably, but not limited to, promotional ad hoc prize games offered as extra prizes by the EuroMillions or UK Lottery organisers (including, by way of example, the “1 guaranteed UK millionaire maker winner” additional prize).
Payments to you The prize money for your syndicate will be shared equally between all members of the syndicate and your proportion will be paid into the membership account you hold with us following the end of that syndicate, subject always to us receiving the prize money from EuroMillions. If your share exceeds £1,000, then we will notify you of this by telephone.
Requested wins After each draw, you will receive automated email correspondence informing you of any winnings that your syndicate has made. All syndicate wins are subject to a minimum pay-out of £15 and more, Any pay out due which is less than £15.00 will not be automatically paid out but will be credited to the member’s account, unless the member requests, in writing, an ad hoc manual payment to process the low value amount. Payment times Once you have submitted a written request and your request is successful, we will pay out your winnings into your nominated personal bank account within five (5) working days.
General Neezy reserves the right to require a member to supply further documentation to verify said member’s age and/or identity and/or to request an authentication agency to verify the member’s identity.
The decision of Neezy in relation to winners of any game or the payment of winnings in relation to any syndicate or game is final and binding and no correspondence will be entered into in respect of such decisions.
Prizes are subject to availability and are non-transferable and non-exchangeable.
Account Cancellation, Variation and/or Suspension
A member who has joined and elected to pay via Mobile billing, can cancel or stop payments at any time by simply sending an SMS text stating either “stop” which will stop the last charged syndicate or “stop all” which will stop all future payments for all active syndicates. These “stop” messages should be sent to the short code number of the last message received from us.
If Neezy learns that a member was not eligible to open an account or any information submitted during registration was provided fraudulently and/or is inaccurate, Neezy reserves the right to take all appropriate steps in relation to that member and his account (including, without limitation, suspending or terminating that account, and investigating any security issues). In such circumstances, Neezy may withhold any winnings due to that member.
Neezy may, at its sole discretion, terminate a member’s syndicate and/or the member’s use of the site if a member’s conduct in any way compromises Neezy’s reputation.
On termination of a member’s account, and subject to any ongoing investigation, Neezy may allow the return of a member’s balance of unutilised funds to the bank (or building society) account, details of which have been provided by the member to Neezy, or (if no such details are provided) by cheque via post to the address provided by the member. In the event that Neezy is unable, through no fault of its own, to return the unutilised funds to the relevant bank (or building society) account, it may retain the unutilised funds for a period of three (3) months from the date the account was terminated whereafter the unutilised funds shall be forfeited to Neezy.
Member Warranties
Each member warrants that they shall only use their account (1) in accordance with these Terms, and (2) in an appropriate and lawful manner.
Each member warrants further that s/he shall not authorise or permit any other party to:
a) receive, access or transmit any content which is obscene, pornographic, threatening, racist, menacing, offensive, defamatory, in breach of confidence, in breach
of any intellectual property right (including, without limit, copyright) or otherwise objectionable or unlawful; or
b) knowingly or recklessly transmit any content (including, without limit, viruses) through the site which shall cause, or be likely to cause detriment or harm, in
any degree, to computer systems owned by Neezy or others; or
c) hack into, make excessive traffic demands on or cause any impairment of the functions of any computer system, deliver or forward chain letters, “junk mail” of any
kind, surveys, contests, pyramid schemes or otherwise engage in any behaviour intended to inhibit others from participating or using the site or any other website, or
which is otherwise likely to damage the reputation or business of Neezy or of any third party.
Each member and prospective member agree to indemnify Neezy against any costs, losses, damages and/or expenses which it may suffer or incur arising out of or in relation to any claim, legal proceeding or demand made by any third party due to or arising out of a member’s wrongful and/or fraudulent and/or negligent use of his account, access to the site and/or breach by that member or prospective member of these Terms.
Disclaimer of Warranties by Neezy
NEEZY MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SITE, THE SERVICE OR THE CONTENT. TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, NEEZY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, WITH REGARD TO THE SITE, THE SERVICE, THE CONTENT, AND ANY PRODUCT OR SERVICE FURNISHED OR TO BE FURNISHED VIA THE SITE.

By registering and playing in our syndicates you agree to the collection of data, including but not limited to personal information such as name, address, contact information and date of birth. Our Liability
Nothing in these Terms limits or excludes our liability for:
a) death or personal injury caused by our gross negligence;
b) fraud or fraudulent misrepresentation; and/or
c) any other liability which cannot be excluded or limited by applicable law.
You will bear all the expenses and responsibilities that may occur in connection to your activity as a member. You will keep us indemnified against any proceedings, claims, damages, costs and liabilities that may arise from your action.
Our total liability to you in respect of any losses arising under or in connection with these Terms, your account and your use of the site, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the amount owed to you in the amount you have paid for entry of the draw at the time of such breach.
We are not liable for the failure of any equipment or software howsoever caused that may prevent the operation of the site, or our services or may impede the playing of the syndicate and any games on the site or prevent you from being able to contact us.
Members will not hold Neezy responsible and/or liable for mistakes, which could have been avoided provided that Neezy or its agent has acted honestly or reasonably.
You will not hold Neezy accountable nor responsible in any way if the lotto ticket numbers that members have requested are not accurate or you have not been included in the syndicate group with the ticket you have chosen. You have the option however of opting out of the lottery syndicate group before a lottery draw has occurred and we will refund you your contribution for the month involved. It is a member’s responsibility to check the accuracy of the numbers they have chosen.
You agree that you will not hold Neezy liable if one or more tickets have been mistakenly allocated to two or more syndicate groups or members. In such circumstances the allocated winnings will be shared by the two or more groups or members in respect only to the ticket shared.
If for whatever reason we were unable to purchase tickets, we will not be held liable. You will have a choice however to ask for the unplayed ticket’s equivalent purchase amount to be reimbursed proportionately to the syndicate groups or members affected.
Any payments mistakenly credited to your account remain Neezy’s property.
Neezy does not guarantee, under any circumstances, the accuracy of the content of the site or the functionality of the overall site. Any decision made by a member based on information on this site is the sole responsibility of that member.
We will not be responsible for any error in statistical figures that may have arisen nor to the result published in the website.
Except as expressly stated in these Terms and to the extent permitted by law, we do not give any representation, warranties or undertakings in relation to your use of the site. Any representation, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law.
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by an operational and/or other business issue or Event Outside Our Control. An “Event Outside Our Control” means any act or event beyond our reasonable control, including without limitation any act of God, strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or obstruction or failure of public or private telecommunications networks and/or the internet.
If an Event Outside Our Control or an operational and/or other business issue takes place that affects the performance of our obligations to you:
a) we will contact you as soon as reasonably possible to notify you; and
b) our obligations will be deferred immediately and the time for performance of our obligations will be kept in abeyance for the duration of the Event Outside Our Control.
Neezy reserves the right, at its sole discretion, to suspend and/or terminate the services available on the site at any time:
a) for repair and/or maintenance work and/or in order to upgrade or update its systems; or
b) if Neezy ceases to run any of the syndicates and/or any part of the site to its members for any reason whatsoever; or
c) for any other reason at its sole discretion.
IN NO EVENT WILL NEEZY BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE SITE, THE SERVICE, OR THE CONTENT, (II) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SITE; (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SITE, THE SERVICE AND/OR THE CONTENT, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (V) ANY OTHER MATTER RELATING TO THE SITE, THE SERVICE, OR THE CONTENT, EVEN IF NEEZY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Miscellaneous / General Provisions
a) If any provision of these Terms is found to be invalid, illegal or unenforceable, Neezy may amend or delete the provision.
The amendment or deletion of any clause will not affect the validity or binding nature of the remaining clauses and provisions.
b) Neezy’s failure to exercise any of the rights in relation to these Terms does not constitute a waiver of its right to require
compliance. Waiver of any part of this agreement must be in writing and signed by an authorised officer of Neezy.
c) We may amend these Terms from time to time. Each time you use the site, the Terms which are in force at that time will apply
to the contract between you and us.
d) These Terms are personal to the member and cannot be assigned or transferred to any other person. Members may not sub-contract
any of their obligations under these Terms. Neezy may assign, transfer or subcontract the performance of its rights or obligations
under these Terms.
e) If it is reasonably necessary to do so Neezy reserves the right to withdraw the site or any of the services without prior notice.
f) These Terms represent the entire agreement between the parties relating to their subject matter and supersede all such prior agreements,
arrangements and undertakings between the parties. Members have no remedy in respect of any untrue statement innocently or negligently
made by or on behalf of Neezy prior to entering into these Terms which they relied upon in entering into these Terms whether such representation
was made orally or in writing.
g) This contract, created by you accepting these Terms, is between you and us. No other person shall have any rights to enforce any of its terms,
whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
h) Law and Jurisdiction: These Terms are governed by and construed in accordance with the laws of England and Wales. This means that any dispute
or claim arising out of or in connection with these Terms shall be governed by the laws of England and Wales. The parties hereby submit to the
exclusive jurisdiction of the courts of England and Wales.
These Terms are subject to change any time, for any reason, with or without prior or subsequent notification.
